Company Formation in the UAE 2025: Mainland vs Free Zone vs Offshore
Choosing the right structure for your UAE business affects your tax position, operational flexibility, and compliance obligations. This guide compares mainland, free zone, and offshore options under the current regulatory framework.
The UAE offers three primary business structures: mainland companies, free zone entities, and offshore companies. The right choice depends on your business activity, target market, tax strategy, and compliance appetite.
Mainland companies are subject to 9% corporate tax on profits over AED 375,000 but have unrestricted access to the UAE market and can trade freely with government entities. Recent regulatory changes allow some free zone companies to conduct limited mainland activities.
Free Zone companies can access the 0% QFZP corporate tax rate but face restrictions on direct mainland trade and must meet substance requirements. Popular zones include DMCC (trading), DIFC (financial services), JAFZA (logistics), and DAFZA (aviation).
Offshore companies — registered in jurisdictions like JAFZA Offshore or RAK ICC — are suitable for holding structures and international trade but cannot conduct business within the UAE.
SAE assists with the full formation process across all UAE jurisdictions, including licensing, bank account opening, and ongoing statutory compliance.
